Your Opportunity:
PLACE is seeking an experienced, business-minded Legal Counsel to join its growing legal team. This is an in person role in our Bellingham, WA office. This role is designed for a junior level attorney who thrives in a fast-paced environment and is eager to gain hands-on experience in both commercial operations and corporate development. You will serve as a legal point of contact for our business operators and play a key role in the execution of our aggressive acquisition strategy. You will have the opportunity to assist and work closely with more senior experienced attorneys.

You will serve as a legal point of contact for our business operators and play a key role in the execution of our aggressive acquisition strategy. You will have the opportunity to assist and work closely with more senior experienced attorneys.
What You'll Do:
- Assist with the adoption and integration of AI tools into the legal team's systems and processes.
- Prepare and negotiate operator agreements, agent agreements and other contracts.
- Act as a partner to our internal operations team and our external operators, providing clear, actionable legal advice on disputes and compliance issues.
- Develop and improve internal contract templates, playbooks, and approval workflows.
- Assist with legal due diligence for new acquisitions, including reviewing target company contracts, corporate records and compliance history.
- Prepare ancillary transaction documents, including NDAs, LOIs, closing certificates and draft purchase documents.
- Assist with post-closing legal integration of acquired entities into our corporate structure.
- Assist with special projects and legal department initiatives as assigned. You will have the opportunity to learn and grow into new areas as our company grows!
- Strong organizational and drafting skills.
- The ability to prioritize workload to stay on schedule and meet organizational deadlines.
- Team player who can collaborate with other teams in the organization.
- Excellent communication skills, written and verbal, with the ability to clearly communicate issues. You will regularly be talking to business owners and operators.
- Ability to manage multiple projects simultaneously in a fast-paced, high-growth environment.
- Collaborative, solutions-oriented mindset with a high degree of professional integrity.
- JD from an accredited law school and an active law license.
- 0-5 years of legal experience, with in-house or corporate/M&A experience preferred.
- Comfortable with AI, contract lifecycle management tools and legal operations systems.
- Prior experience in acquisitions, real estate, franchising, mortgage or title is a plus.
